Terms of service
Initial template — requires legal review before production use
This page is a starting point written to describe how the product actually behaves. It has not been reviewed by an attorney and is not legal advice. Before launch it must be reviewed against Tennessee consumer-protection law, marketplace and payment-facilitator obligations, and applicable privacy regulation. Last updated January 2026.
1. What Semicircl is
Semicircl is a managed marketplace. We source venues and event-service providers against a brief you submit, present coordinated packages, and handle contracting and payment centrally. We are not the venue and we are not the caterer: the services themselves are performed by independent providers.
2. Accounts
You are responsible for the accuracy of the information in your account and brief, and for keeping your credentials secure. You must be 18 or older and able to enter a binding contract.
3. Briefs, quotes and proposals
Submitting a brief is free and creates no obligation. Availability shown on the site is indicative only — we do not operate real-time booking, and no date is held until we say so in writing. Proposals are valid for the period stated on them (currently 7 days) and prices may change if the guest count, timings or requirements change.
Each proposal includes 1 round of revisions. Further revisions are at our discretion.
4. Booking and payment
Selecting a package and paying the deposit forms a binding booking for the services described in that package, on the terms shown at the point of payment. The deposit is 25% of the all-in total unless stated otherwise, and the balance is due 14 days before the event.
We collect payment as the merchant of record for the package and pay providers separately. Payments are processed by Stripe; we do not store card details. Amounts shown exclude Tennessee sales tax, which is applied where due.
5. Cancellations and changes
Cancellation terms are set out in full on the cancellation policyand are restated on every package before you pay. In summary: deposits are refundable in full for 72 hours after payment, and after that each provider's stated terms apply.
Changes to guest count, timings or scope may change the price. We will re-quote and confirm before anything is charged.
6. Provider terms
Providers who list on the platform agree that they will:
- hold and maintain the insurance and licenses stated on their profile;
- quote accurately, including what is excluded;
- honor the cancellation terms published on their profile and quotes;
- complete bookings introduced through the platform through the platform, rather than contracting around it; and
- accept the platform commission (default 12%, or as separately agreed) deducted from payouts.
Listing is non-exclusive. Providers remain free to take direct bookings from any other source.
7. Communication
Before a deposit is paid, communication takes place through the platform and direct contact details are not displayed. We apply automated detection to messages for that purpose and administrators may review flagged messages. After a deposit is paid, contact details are released to the parties on the booking.
8. Acceptable use
Do not misrepresent who you are, submit briefs you have no intention of pursuing, scrape the platform, or use it to send unsolicited commercial messages.
9. Liability
Providers are responsible for the services they perform. Our responsibility is for the sourcing, coordination and payment services we provide. Nothing in these terms excludes liability that cannot lawfully be excluded.
10. Disputes
Raise any issue with us first — that is the point of a managed marketplace. We investigate, mediate between the parties, and where a provider has failed to deliver we will re-source or refund the affected component where we reasonably can.
11. Changes to these terms
We may update these terms. Material changes will be notified by email before taking effect. The terms that apply to a booking are the ones captured at the point you accepted them, which we store with the booking.

Items requiring legal confirmation before launch
- Merchant-of-record position. Whether the platform is the merchant of record for the whole package, and the sales-tax collection and remittance obligations that follow in Tennessee.
- Money transmission. Confirmation that collecting funds and paying providers via Stripe Connect separate charges and transfers does not constitute money transmission requiring licensure.
- Alcohol. Whether facilitating payment for alcohol service triggers any Tennessee ABC obligation for the platform itself.
- Escrow language. We deliberately avoid describing funds as held in escrow. Confirm the description above matches the final payment configuration.
- Provider classification. Contractual confirmation that providers are independent businesses, not agents of the platform.
- Limitation-of-liability caps, indemnities, governing law and dispute-resolution mechanism.
